The deal anticipates raising approximately $400 million, inclusive of PIPE financing but excluding fees, following a Class A common share redemption rate below 30%.

The transaction requires approval from CEPT shareholders at a special meeting on June 29, with delivery expected on July 1. Post-merger, the entity will operate as Securitize Corp. and commence trading on the New York Stock Exchange under the ticker symbol SECZ on July 2.
