Introduction and Consensus Explanation

This Agreement is jointly executed by Wufang (Hong Kong) Financial Technology Limited ("the Company", "we", "Wufang", or "WooFun") – a professional fintech company legally registered, operating, and functioning in accordance with the laws and regulations of the Hong Kong Special Administrative Region – and all users who voluntarily access, browse, register, or utilize WooFun's products, features, and services through various channels (collectively referred to as "You" or "Users" in this Agreement). The purpose of this Agreement is to systematically and clearly define the rights, legal obligations, and corresponding liability relationships between the contracting parties during users' engagement with WooFun services.

These Terms of Service apply to all individuals and entities accessing the WooFun website, using the WooFun mobile application, or otherwise engaging with WooFun services. This includes both registered users who have completed account registration and possess independent login credentials, as well as unregistered visitors browsing platform content. It is expressly stated that any visitor's use of platform services constitutes acceptance of the terms directly related to basic service usage herein. These Terms, together with the "WooFun Privacy Policy" separately formulated and published by the company, form a comprehensive legally binding agreement that fully governs your use of WooFun services. In case of discrepancies between these Terms and the Privacy Policy regarding specific matters, the Privacy Policy shall take precedence in matters concerning user personal information processing and protection (all privacy-related matters shall be governed by the Privacy Policy). Any conflicts arising from other provisions shall be resolved through interpretations that best ensure service stability and mutual rights protection.

Before you first activate or continue using the WooFun service, we strongly recommend and explicitly require you to thoroughly read all terms of this agreement with full attention and due diligence to ensure complete understanding. Your actions—including clicking "Agree,"  "Accept," or "Confirm" buttons through the user interface, or engaging in specific behaviors such as browsing designated pages, querying information, modifying personal settings, or using core features—constitute irrevocable legal acts. These actions shall be deemed as your full awareness, explicit understanding, and unconditional acceptance of all agreement terms and conditions, voluntary compliance with its legal obligations, and consent to establish contractual relationships with our company pursuant to this agreement.

To adapt to dynamic changes in national and regional laws, regulations, and regulatory policies, and to meet the objective needs of business innovation and development on the WooFun platform, we reserve the right to unilaterally revise, supplement, or release updated versions of this Agreement within legal boundaries. Upon effective implementation of revisions, we will notify you of key changes through reasonable and attention-grabbing methods including in-app pop-ups, prominent website announcements, registered email notifications, and mobile device push alerts. If you disagree with the updated terms, your only option is to immediately cease using all WooFun services and may request account cancellation through official procedures. Continued service usage after receiving notice constitutes acceptance of all updated Agreement terms, regardless of whether you have re-read the document. Detailed service usage rules and guidelines

Part 1: User Account Registration, Management, and Security Responsibilities

1. Registration Obligations and Information Authenticity:

To unlock and utilize all features and services provided by the WooFun platform (including cloud-based synchronization and cross-device access to your custom cryptocurrency list, personalized price fluctuation alerts, and management of subscribed content lists), you must complete the user account registration process as instructed by the platform. During this process, you expressly acknowledge and guarantee that all submitted registration information (including but not limited to personal details and contact information) is truthful, accurate, complete, and consistent with your current circumstances. You must fully understand that all actions taken under this account after successful registration (such as adding or removing selected currencies, triggering and receiving alerts, or publishing content) will be subject to full legal responsibility. Our company reserves the right to verify your provided information based on reasonable suspicion or to fulfill legal obligations (including anti-money laundering and counter-terrorism financing compliance requirements). If we detect false, invalid, or potentially illegal information, we may immediately implement measures including service suspension, partial functionality restrictions, or complete service termination without assuming liability for any resulting losses.

2. Account rights attributes and usage restrictions:

You hereby expressly acknowledge that all user accounts on WooFun, including associated digital identity identifiers and permission systems, are subject to the ultimate management rights, operational ownership, and interpretative authority of our company. The rights you obtain under this agreement constitute only a limited, non-exclusive, and non-transferable ordinary usage right valid during the agreement's term. You strictly agree not to gift, lend, lease, transfer, sell, or otherwise dispose of your account in any form, including attempting to transfer control rights. Any such actions shall be deemed a material breach of the fundamental terms.

3. Policy for accounts that have not logged in for a long time:

To optimize platform server resource allocation and enhance service efficiency, if your account remains inactive for 90 consecutive calendar days without any login activity, we reserve the right to attempt at least one notification via the email address provided during registration or through the platform's push system before reclaiming the account and associated data. We will grant you a reasonable grace period to reactivate your account. Should no login activity occur after this notification period and grace period, we may reclaim the account at our discretion and delete all stored data. Any data loss resulting from account recovery shall be solely your responsibility.

Part II: Information Content Publication, Intellectual Property Rights and Usage Authorization

1. User content usage authorization:

When you upload, submit, store, or publicly release any content information (including but not limited to personal avatars, written profiles, published comments, opinions, or other forms of content) on the WooFun platform, you irrevocably grant our company and its affiliates a perpetual, free license to use, store, display, copy, modify, adapt, publish, and translate such content worldwide solely for providing, optimizing, promoting, and operating WooFun services. It is important to note that this authorization strictly applies to commercial purposes related to the services and does not affect your original creators' legally protected intellectual property rights. Additionally, our company reserves the right to authorize third-party partners to utilize such content within necessary scopes for service delivery purposes.

2. Scope of prohibited content:

When using the platform services, you hereby solemnly undertake not to create, upload, copy, publish, disseminate, store, or share any content with the following characteristics: violating applicable national or regional laws, regulations, or regulatory requirements; containing pornography, obscenity, violence, or other objectionable elements; promoting hatred or discrimination based on race, ethnicity, gender, religion, disability, or similar attributes; spreading false, fraudulent, or materially misleading information; infringing upon others 'intellectual property rights (including copyrights, trademarks, patents), portrait rights, privacy rights, or other legitimate rights; potentially constituting unauthorized financial investment advice or violating provisions of Hong Kong's Securities and Futures Ordinance; or any other content that may disrupt the platform's normal operational order or undermine its healthy ecosystem.

3. Data scraping and unauthorized commercial use are strictly prohibited:

Without prior explicit written permission from our company, you are strictly prohibited from using any automated tools, software, scripts, web crawlers, or other technical means to scrape, collect, index, or systematically obtain any content, real-time market data, historical data, or website/application data structures on the WooFun platform. All market data, analytical charts, research reports, and other information provided by the platform are intended solely for personal non-commercial reference purposes. Unauthorized reproduction, dissemination, redistribution, or utilization of such information for sale, publication, broadcasting, commercial display, or any other commercial purposes is strictly forbidden.

Part III: Platform Systems and Security Protection Obligations

You hereby undertake and guarantee that you will not engage in any activities that may attempt or actually compromise the security of the WooFun platform system, data security, network stability, or service continuity. Such strictly prohibited behaviors include, but are not limited to: initiating or participating in distributed denial-of-service attacks; performing packet spoofing or forgery; conducting reverse engineering, decompilation, or disassembly of platform software; unauthorized attempts to access or actual access to our servers, databases, application programming interfaces, or internal network systems; and employing any technical means to circumvent, bypass, or disrupt security measures or access control protocols established by the platform.

Data Authenticity: We remain committed to providing users with accurate and timely data services, having implemented comprehensive technical measures for data validation and monitoring to ensure accuracy and timeliness. However, we must inform users that all data displayed on the platform originates from public markets or third-party data service channels. We cannot provide any explicit or implied guarantees regarding the completeness, absolute authenticity, or continuous validity of these raw data sources. Additionally, unavoidable errors or delays may occur during data transmission, processing, and presentation due to uncontrollable technical factors such as network latency, transmission interruptions, or system failures.

Technical Fault Exemption: For any temporary or permanent service interruptions, accidental data loss, or damages to users' virtual or physical assets directly or indirectly caused by circumstances beyond our reasonable control (including but not limited to: communication line disruptions, malicious hacker attacks, computer virus intrusions, platform system instability, regulatory actions by government authorities, force majeure events (such as earthquakes, fires, floods, wars), and other unforeseeable, unavoidable, and insurmountable objective events), we shall be exempt from corresponding compensation liabilities within the maximum scope permitted by current laws, regulations, and regulatory policies. We do not guarantee uninterrupted, error-free, or absolutely secure operation of platform services, and scheduled temporary interruptions may occur for reasonable reasons such as system maintenance, version upgrades, or capacity expansion.

Advertising and Third-Party Services: To sustain platform operations and provide free services, commercial advertisements from third parties or links to third-party websites, products, or services may appear on platform pages or functional modules. We conduct reasonable reviews of such advertisements and linked content, but do not provide any warranty or assume joint liability regarding the quality, efficacy, safety, published content, privacy practices, or transactions involving third-party products/services. All risks and liabilities arising from any transactions, interactions, or disputes between you and third parties shall be solely your responsibility.

IPR

The intellectual property rights related to the overall architectural design of the WooFun platform and its constituent components—including all software source code, user interface design, backend algorithms and data models, various visualization charts, underlying data structures and databases, platform trademarks, brand logos, and graphical interface layouts—are fully protected under the current laws of the Hong Kong Special Administrative Region of the People's Republic of China and relevant international intellectual property treaties. This protection encompasses copyrights, trademark rights, patent rights, trade secrets, and other associated interests. Unless explicitly marked as content licensed through third-party authorization, all rights to these intellectual properties remain exclusively owned by us (the platform operator) or our legitimate licensees.

Subject to your agreement and acceptance of these User Terms, we hereby grant you a personal, non-transferable, non-exclusive, and subject to strict limitations general license. This license is exclusively for your use to legally download, install, and utilize the WooFun official client software on a single terminal device for personal, non-commercial purposes only. You are strictly prohibited from developing, creating, using, distributing, or assisting in the dissemination of any plugins, cheats, unauthorized access tools, or similar software designed to disrupt, sabotage, or illegally interfere with the normal operation of the WooFun platform in any form.

If you, as the rights holder, believe that any content displayed on the WooFun platform infringes upon your or your representative's legitimate intellectual property rights (including copyrights and trademarks), please submit a formal notice via our designated email address contact@woofun.ai, accompanied by legally compliant preliminary evidence of infringement. Upon receiving valid notification, we will initiate appropriate procedures in accordance with applicable laws, regulations, and platform policies.

Service Changes and Termination

We reserve the right to unilaterally modify, suspend, or terminate partial or all service content of the platform at any time in response to business development, technological upgrades, regulatory changes, or operational needs. Prior to implementing such significant modifications, we will notify users as early as possible through reasonable channels including platform announcements, internal messages, and emails. If you disagree with the changes to the service terms, you may opt to discontinue service usage or cancel your platform account. The termination of any service shall not affect obligations already incurred during the validity period of this agreement, including but not limited to the validity of granted intellectual property licenses and potential compensation liabilities.

Currently, the basic data services provided by the WooFun platform to users are free of charge. However, we reserve the right to introduce a reasonable pricing model or charge fees for certain value-added services in the future, depending on factors such as service content expansion and operational cost fluctuations. If a charging policy is implemented, we will notify users in advance through prominent means regarding specific fee terms, standards, and payment methods. Should you disagree with the new terms, you may choose to discontinue the relevant paid services or cancel your account.

Account Deactivation and Data Retention

You can submit an account cancellation request through the following steps in the WooFun client app: [Personal Center] → [Account Information] → [Account Security] → [Account Cancellation]. Before processing your request, the system may ask you to confirm and understand the consequences of cancellation (e.g., account data, asset records, and personalized settings may be deleted permanently).

Upon successful processing of your account cancellation request, we will strictly adhere to the current "Privacy Policy" of the platform to delete or perform irreversible anonymization processing on your personal data, ensuring the processed information cannot be used to identify specific individuals. This includes retaining certain information for statutory requirements (e.g., maintaining operational logs for at least 6 months to fulfill anti-money laundering obligations) as mandated by applicable laws and regulations. It is important to note that account cancellation does not exempt you from any obligations arising from your usage during the agreement's validity period, including potential liability for damages to third parties.

Child Protection

The services provided by this platform are primarily intended for adults aged 18 or older with full civil capacity. Minors must use the services under the supervision of their guardians (parents or other legal guardians) only after the guardians have read, understood, and agreed to all terms of this agreement. If we detect minor users registering or accessing platform services without explicit parental consent, we reserve the right to immediately suspend or terminate services and process related accounts and data in accordance with our Privacy Policy. In such cases, guardians may exercise the rights stipulated in this agreement on behalf of the minors.

Applicable Law and Dispute Resolution

The conclusion, entry into force, interpretation, performance, modification, termination of this User Agreement, as well as the resolution of all disputes arising therefrom, shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Both parties expressly agree that any disputes arising from or in connection with this Agreement shall be settled through litigation by the competent court of the Hong Kong Special Administrative Region as the sole jurisdictional forum.

Both parties shall first resolve disputes through good faith negotiations based on the principle of good faith. If no agreement can be reached within 30 days from the occurrence of the dispute, you hereby expressly agree to submit the dispute to the Hong Kong jurisdiction court specified in these terms for final resolution through judicial proceedings. Should any provision of this Agreement be deemed invalid or unenforceable by a competent judicial authority, such invalidity or unenforceability shall not affect the continued validity and enforceability of other provisions herein.
